- Acceptance of these terms
- These Terms of Use ("Terms") are a binding agreement between you and Natamoto LLC ("Natamoto," "we," "us") governing your use of natamoto.com and every website and mobile application we operate — including the Natamoto marketplace app and the Natamoto provider portal (together, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
- Eligibility
- You must be at least 18 years old and able to form a legally binding contract to use the Services.
- What Natamoto is — and is not
- Natamoto is an online marketplace and information service that connects motorcycle sellers with private buyers, dealers, and mechanics. We are a neutral venue. We are not a motor-vehicle dealer, broker, or auctioneer, and we are not a party to any transaction between users. We do not take title to, take possession of, inspect, or guarantee any motorcycle, and we do not hold or transmit funds between buyers and sellers. Any sale happens directly between users.
- Your account & credentials
- Some features require an account (for example, Sign in with Apple). Sellers using our websites access their submissions with a Reference ID and a PIN you choose. You are responsible for keeping your credentials confidential and for activity that occurs under your account.
- Seller terms
-
- Ownership: You represent that you are the legal owner of each motorcycle you list, or that you have the right and authority to sell it.
- Accuracy: You will provide truthful, accurate information, and submit only photos you have the right to use.
- Content license: You grant Natamoto a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable license to use, host, store, reproduce, modify, publish, and display the content you submit (photos, descriptions, and vehicle information) to operate and promote the Services, and you waive moral rights to the extent permitted by law. This license survives the removal of your listing or account.
- Control & keeping your listing current: You may delist a motorcycle or mark it as sold at any time, and you agree to keep your listing status accurate. If a motorcycle you list is sold — whether through Natamoto or elsewhere — you must update its status to “Sold” within seventy-two (72) hours of the completed sale, and you must promptly delist any motorcycle you no longer offer. A listing you do not keep current may be updated, closed, or removed by us.
- Listing limits: You may have up to two (2) motorcycles listed for sale at the same time at no charge. Listing additional motorcycles concurrently may require a fee. We may change these limits or fees, with notice where required.
- Listing attestation: When you list a motorcycle, you confirm that you genuinely intend to sell it and will consider offers in good faith, that you are the legal owner or have the right to sell it, and you tell us whether you hold the title. These confirmations set expectations and let us act on misuse; they are not a binding commitment to sell to any particular buyer.
- Your name in messages (your choice): By default you appear to buyers as "Private Seller" and communication happens through Natamoto. You may opt in — at listing or later — to show your name in your messages instead of "Private Seller." Natamoto does not share your contact details with anyone; any details you choose to disclose, you share yourself, within a conversation.
- Offers — "Make an Offer"
-
The offer feature is a non-binding price-discovery tool, not an auction. Placing or receiving an offer creates no obligation to buy or sell, and no contract of sale is formed through the Services. The seller decides whether and with whom to proceed.
Offer attestation: Before your first offer, you confirm that you intend to make genuine offers and to honor the price you set if the seller accepts, and that you have read and agree to these Terms and our Privacy Policy. This confirmation sets expectations and lets us act on misuse; consistent with the paragraph above, it does not by itself create a binding contract of sale — any binding agreement is reached directly between you and the seller.
On Best Offer listings, offers use proxy bidding: you set a maximum, and our system raises your offer on your behalf only as far as competing offers require, never above your maximum. Your maximum is never shown to the seller or to other buyers, and you typically lead at one increment above the next-highest offer rather than at your maximum. Offers are raised in fixed increments by price band — $50 under $2,000, $100 from $2,000 to $4,999, and $250 at $5,000 and above. On fixed-price listings an offer is simply the amount you enter, with no proxy bidding or increments.
On Best Offer listings, the current leading offer amount is shown publicly on the listing as bidding progresses. This figure is the leading offer only — never your identity and never your maximum. Because we process offers periodically rather than in real time, the leading amount shown reflects our most recent processing and may not include the very latest offers. After a listing closes, its details and final price may remain publicly visible for a period.
Making offers is free up to a monthly limit — currently five (5) offers per calendar month. If you want to make more in the same month, additional offers may be purchased separately (for example, as a bundle of offer credits). Fees for purchased offers are non-refundable. We may change the free monthly limit and the price of additional offers, with notice where required. You are responsible for arranging your own inspection, payment, title transfer, and transport.
At the close of a listing the seller may choose to pursue one or more of the top offers by continuing the conversation through Natamoto. Natamoto does not share contact details between users. Buyers and sellers communicate through Natamoto and may choose to share their own contact information with each other within a conversation; we are not responsible for how users use any information they share.
- Closed & removed listings
- After a listing closes it may remain publicly visible for a period as a market reference. A listing marked Sold stays visible until it expires and is shown as sold with its last price displayed only as a past reference (for example, struck through); that figure is the seller’s prior asking or leading-offer amount and is not a verified sale price — Natamoto does not broker sales or confirm what price, if any, was actually paid. A listing a seller removes or delists is shown as “No longer available,” without a price. We do not warrant the accuracy of any price, status, or other information shown for a closed listing.
- Provider terms (dealers & mechanics)
- Providers subscribe to regional coverage for a recurring fee billed through Stripe. Subscriptions renew automatically until cancelled; changes, downgrades, and refunds are governed by our subscription policy. We deliver curated leads but do not guarantee any number of leads, responses, or sales. Providers must keep inventory status current: mark a motorcycle “Sold” within seventy-two (72) hours of a completed sale and delist any unit that is no longer available.
- Payments
- Payments are processed by Stripe. You authorize the applicable charge when you purchase offer credits or start or change a subscription. Except as expressly stated in these Terms, fees are non-refundable.
- Acceptable use
-
You agree not to:
- misrepresent yourself, a motorcycle, or an offer;
- list stolen, fraudulent, or otherwise prohibited items;
- harass, threaten, or abuse other users;
- circumvent the Services to avoid fees;
- scrape, reverse-engineer, overload, or disrupt the Services; or
- use the Services for any unlawful purpose.
Messages may be limited in length and may be reviewed by automated moderation. We may remove content and suspend or terminate accounts that violate these Terms.
- User content & communications
- You are responsible for the content you submit and the messages you send. We may — but are not obligated to — monitor, moderate, or remove content.
- Intellectual property
- The Services, including our name, logo, design, and content (excluding user content), are owned by Natamoto LLC and protected by law. You may not copy, reproduce, or use them without our permission.
- Third-party services
- The Services rely on third parties such as Stripe, Apple, our cloud hosting provider, and OpenStreetMap (used to convert a ZIP code you enter into approximate map coordinates for the “near me” feature). Your use of those services may be subject to their own terms, and we are not responsible for them.
- Matching, timing & availability
- Natamoto processes offers, recalculates Best Offer standings, delivers leads to dealers and mechanics, and sends notifications periodically and on a best-effort basis — not in real time. These updates happen when our systems next process pending activity, which may be delayed. Any standing or amount shown to you — including who is currently leading a Best Offer listing — reflects our most recent processing and may not be current. We do not guarantee the speed, timing, frequency, or delivery of any match, offer update, lead, notification, or message, and we are not responsible for outcomes that depend on timing, such as an offer that is not processed before a listing closes. Time-sensitive decisions are your responsibility. Distances shown by the “near me” feature are approximate — based on the ZIP code you provide and the seller’s stated area — and are for convenience only, not a guarantee of any motorcycle’s exact location.
- Disclaimers
- The Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind. We do not verify users, motorcycles, or the truth of any listing, and we make no warranty about any motorcycle, user, transaction, price, or outcome. You use the Services and deal with other users at your own risk.
- Limitation of liability
- To the maximum extent permitted by law, Natamoto will not be liable for any indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim relating to the Services will not exceed one hundred U.S. dollars ($100).
- Indemnification
- You will defend, indemnify, and hold harmless Natamoto LLC from any claims, damages, losses, and costs (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.
- Governing law & dispute resolution
- These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-law principles. We will first try to resolve disputes informally — email legal@natamoto.com. Any dispute that cannot be resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its applicable rules. You and Natamoto waive any right to a jury trial and agree that claims may be brought only individually, and not as part of a class or representative action.
- Termination
- We may suspend or terminate access to the Services at any time for a violation of these Terms or to protect the Services or our users. You may stop using the Services at any time.
- Changes
- We may update these Terms from time to time. The "last updated" date at the top reflects the most recent revision; material changes will be highlighted. Your continued use of the Services after a change means you accept the updated Terms.
